General Meeting Invitation

2020 has been an unusual year, and in keeping with the theme, we are asking our members to gather for a second time this fall. 
 
At a General Meeting of the Membership of the Greater Victoria Volunteer Society (Volunteer Victoria) on December 15, 2020 two motions will be presented to the members of the Society. 
 
The first motion is a proposal to amend Bylaw 8 and remove clause (4). The amendment will allow Volunteer Victoria to better align our accounting practices at each fiscal year-end and potentially reduce our audit costs. Bylaw 8(4) currently reads:

8. A member shall cease to be a member of the society
1)   by delivering their resignation in writing to the secretary of the society or by mailing or delivering it to the address of the society;
2)   on their death or in the case of a corporation or organization, on dissolution;
3)   on being expelled; or
4)   on having been a member not in good standing for 3 consecutive months.

The proposed change to Bylaw 8 includes:

8. A member shall cease to be a member of the society
1)   by delivering their resignation in writing to the secretary of the society or by mailing or delivering it to the address of the society;
2)   on their death or in the case of a corporation or organization, on dissolution;
3)   on being expelled.

The proposed motion reads: That Bylaw 8(4) is eliminated. 
 
The second motion is a vote on a resolution that asks the membership for permission for the Society to incur debt through a Canada Emergency Business Account (CEBA). The BC Societies Act states that any society incurring debt must seek permission from its members first. As Volunteer Victoria does not currently have any debt (no lease, no loans, no lines of credit etc.) we are in the unusual position of having to get permission from out members. 
 
With the members approval Volunteer Victoria will take the opportunity to apply for a Canada Emergency Business Account (CEBA) that provides interest-free loans of up to $40,000 to not-for-profits to help cover operating costs during a period where revenues have been temporarily reduced. The loan must be repaid in 2022. A member of a society is not liable for a debt or other liability of the society and Volunteer Victoria holds enough funds in reserve to repay the loan.

The proposed  motion reads: The members of the Greater Victoria Volunteer Society grant permission for Volunteer Victoria to incur debt.

Please note that any member who voted in advance of or at our AGM in September 2020 is asked to vote again as those votes are null and void.
